Air Transport Services Group has agreed to sell Omni Air International to OAI Holdings, a private aviation company led by a management team with deep industry experience. The transaction covers the Tulsa, Oklahoma-based passenger ACMI and charter operator, which serves commercial and government customers worldwide and operates from Tulsa International Airport.
No financial terms were disclosed. Closing is subject to customary regulatory approval and other limited conditions, with completion expected in the fourth quarter of 2026 or early 2027.
ATSG expects the divestment to leave the group more focused on air cargo transportation, aircraft leasing and related maintenance and logistics services. OAI’s purchase is not subject to a financing contingency. Goldman Sachs is advising ATSG, while BDT & MSD Partners is advising OAI.
Founded in 1993, Omni provides passenger wet-lease flying, charter services, airline start-up support, route development and aircraft management.
