Condor’s shareholder structure will be reorganised after majority owner Attestor exercises a purchase option to acquire the remaining 49% stake held for the German federal government and the state of Hesse. The deal is scheduled to close on 31 August 2027, when the German leisure carrier is set to become wholly owned by Attestor.
The transaction ends the public sector’s ownership role in the airline following repayment of the pandemic-era support that helped stabilise Condor during the COVID-19 crisis. The option was part of the 2021 investment agreement, when Attestor first took control of the carrier alongside the German government. Condor disclosed the plan in Frankfurt.
The state’s 49% holding sits in SG Luftfahrtgesellschaft, the vehicle used for the public stake. Condor’s current ownership arrangement has been in place since the restructuring of the airline after the collapse of Thomas Cook, with the federal government and Hesse backing the carrier through crisis measures. The future closing date gives the business a clear timetable for the end of state involvement and for Attestor’s full control of one of Germany’s best-known leisure airlines.
