CADE clears American Airlines’ US$100 million investment in Azul

Brazil’s antitrust regulator CADE has approved American Airlines’ US$100 million investment in Azul without restrictions, removing a key regulatory hurdle for the US carrier’s minority stake in the Brazilian airline. The decision covers a transaction linked to Azul’s restructuring and recapitalisation process, with the clearance centred on the passenger and cargo markets between Brazil and the United States.

CADE’s technical review found no competitive risk in the deal and allowed it to proceed without conditions. Market reporting has indicated that the investment may give American about 8% of Azul’s capital and could include board representation, although those governance terms have not been confirmed in the regulator’s formal clearance.

Azul previously disclosed the broader investment structure as part of its Chapter 11 emergence plan, under which American and United Airlines each committed US$100 million in separate equity investments. American’s contribution remained subject to Brazilian antitrust approval, making the CADE decision a significant step in the airline’s recapitalisation process. The clearance becomes final if no appeal or formal review is opened within the statutory period after publication in Brazil’s official gazette.
