CAA Engages With Apollo Over Proposed Takeover of easyJet UK

The UK Civil Aviation Authority has engaged with Apollo Global Management over its proposed recommended cash acquisition of easyJet, a deal valuing the airline at about £5.7 billion. The transaction, announced on 6 August, would give Apollo a controlling economic interest in easyJet while keeping ownership structures within the limits needed for the carrier’s operating rights.

easyJet’s share price has been set at £7.15 under the offer, which followed Castlelake’s withdrawal from the process. The structure is designed so Apollo funds hold no more than 49.9%, with an EU trust and qualifying rollover shareholders helping preserve the ownership and control conditions required under UK and European airline rules.

The deal is not complete and remains subject to shareholder approval, court approval, aviation and regulatory clearances and other conditions under a UK scheme of arrangement. Completion is currently expected by the end of the first quarter of 2027.
