SITA to acquire CAE airline software business Flightscape for US$500 million

SITA has agreed to acquire Flightscape, CAE’s airline operations software business, for an enterprise value of US$500 million including debt. Announced in Geneva on 26 October, the transaction is expected to close in the first half of 2027, subject to regulatory approvals and other customary conditions.

Flightscape’s software is used daily by more than 90 airlines for flight planning, crew management, operational control, ground coordination and in-flight services. The business will complement SITA’s existing aviation-technology portfolio, extending its capabilities in shared operational decision-making and disruption recovery across airlines, airports and other aviation partners.

Flightscape will continue operating as usual until completion, with integration work beginning only after the transaction closes. SITA’s strategy is to expand beyond connectivity and data exchange into operational decision-support tools.

CAE began a strategic review of Flightscape as it refocuses on its core civil and defence simulation and training activities. The proceeds are intended for investment in those businesses and shareholder returns. SITA is advised by Rothschild & Co and Borden Ladner Gervais, while CAE’s advisers are BMO Capital Markets, Citigroup Global Markets Canada and Norton Rose Fulbright Canada.
