Peru’s competition authority has given conditional approval to Abra Group’s acquisition of control of SKY Airline, removing the last major regulatory hurdle for the Latin American airline holding company. The clearance covers Peru’s review of the transaction and requires changes to non-compete and non-solicitation clauses in the deal documents.
Indecopi’s Commission for the Defence of Free Competition completed a second-phase review after examining possible effects on the Lima-Miami and Cusco-Miami routes. It found no significant restriction of competition on those markets, but determined that certain contractual provisions were broader than necessary for the transaction. Abra must limit the scope and duration of those clauses and show that the final documents reflect the changes.
The decision follows earlier approvals in Chile and Brazil, moving Abra closer to formalising the acquisition across the region. One report described the ruling as the sixth second-phase concentration case approved with conditions since Peru introduced pre-merger control in 2021.
