The cash-free, debt-free transaction, unanimously approved by both boards, will close in Q4 2026 pending regulatory clearance from CFIUS, FTC, and DOJ. Comtech retains cyber assets and receivables while pivoting to public safety under the Allerium brand, whereas Gilat gains expanded defense exposure and U.S. market footprint.
